These Terms of Service (“Terms”) govern your use of www.sw-cpas.com and of the data connections that SW Accounting & Consulting Corp. (“SW Accounting,” “we,” “us”) uses to provide bookkeeping, accounting, and tax services. By using the website or authorizing a data connection, you agree to these Terms.
1. Our services
Our professional services are governed by the engagement letter between you and SW Accounting. If these Terms conflict with your engagement letter, the engagement letter controls.
Our data connections include our applications for Shopify, the Amazon Selling Partner API, and TikTok Shop, and read-only access to Stripe, Mercury, and bank accounts linked through Plaid. They exist only to provide services to our clients. They are not offered as a standalone software product.
2. Authorization and read-only access
By authorizing a connection, you confirm that you have the authority to grant access to the account on behalf of your business. You allow us to retrieve the records described in our Privacy Policy for the purposes stated there.
Our applications request read-only access. They do not place orders, move funds, or change your store, listings, prices, inventory, or account settings.
3. Your responsibilities
- Keep your platform accounts secure, and tell us promptly if you believe an access credential has been exposed.
- Provide information that is complete and accurate. Tell us about transactions that a connection does not capture, such as cash sales or accounts we are not connected to.
- Review the financial statements and reports we deliver, and raise questions within a reasonable time.
4. Your data
You own your business data. We use it only to provide our services, as described in our Privacy Policy. When the engagement ends or you disconnect a platform, we revoke our access as described in the Privacy Policy, and we retain records only as professional and legal record-keeping rules require.
5. Third-party platforms
Shopify, Amazon, TikTok Shop, Stripe, Mercury, Plaid, and your bank are independent services governed by their own terms. We are not responsible for their availability or accuracy, or for changes they make to their services or to the data they provide. If a platform’s data is incomplete or delayed, we will work with the information available and tell you about material gaps.
6. Website content
Content on www.sw-cpas.com is general information, not professional advice for your specific situation. A professional relationship is formed only by a signed engagement letter.
7. Disclaimer and limitation of liability
The website and data connections are provided “as is.” To the extent permitted by law, we disclaim implied warranties, and our liability arising from the website or the data connections is limited as set out in your engagement letter. If no engagement letter applies, our liability is limited to the fees you paid us in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law or professional standards.
8. Ending access
You may revoke a connection at any time, as described in our Privacy Policy. We may suspend a connection if required by a platform, by law, or to protect the security of your data.
9. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, unless your engagement letter provides otherwise.
10. Changes to these Terms
We may update these Terms from time to time. The effective date at the top shows when they were last revised.
